Position Summary:
The Senior Paralegal, Contracts & Intellectual Property will provide a high level of legal support to attorneys/staff through drafting, reviewing and negotiating certain company contracts, including, Non-Disclosure Agreements, Statements of Work, Purchase Orders, Master Services Agreements, Release Agreements, etc. They will work closely with Corporate Procurement, Vendor Management, Information Security and other risk partners to oversee the overall contract process for the Legal department to, drive compliance with applicable corporate policies and procedures and engage necessary stakeholders. They will be responsible for managing and monitoring contract deadlines, and working closely with lawyers and risk partners to timely complete projects. The Senior Paralegal, Contracts & IP will represent the Legal Transactional Group in various company meetings/groups.
The Senior Paralegal, Contracts & IP will also be responsible for managing company trademarks and provide guidance on other intellectual property matters, including trademark clearance, prosecution, maintenance and policing, tracking deadlines, advising on IP notices, drafting cease and desist letters, reviewing license agreements, etc.
The Senior Paralegal, Contracts & IP, will also provide high level legal support to attorneys/staff on special projects as they arise, including, but not limited to, matters related to cybersecurity, privacy, marketing, escheatment, and other general legal matters.
The ideal candidate will have excellent problem-solving, organizational, writing and communications skills, and be able to work well independently as well as in a team environment.
Key Responsibilities:
- Support attorneys through drafting, negotiating and managing contr acts, and working closely with clients and risk partners throughout the contract management processes. 50%
- Handle trademarks and other IP related matters, including trademark clearance, policing, prosecution and maintenance. 20%
- Support attorneys on other special legal projects. 20%
- Managing budget/expenses reports, scheduling calendars and making travel arrangements. 10%
Education:
- Bachelor's degree or completion of Certified Legal Assistant examination
Experience:
- 5+ years' experience as a Paralegal/Contract Administrator with solid base knowledge of contracting principles and concepts with experience drafting, reviewing and negotiating a variety of company contracts
- Strong familiarity with corporate structure and procedures
- Preferable: Base knowledge of trademark law, including clearance and prosecution
- Preferable: Experience supporting legal professionals
Knowledge Skills and Abilities:
- Proficient in legal research and writing.
- Thorough knowledge of legal principles, legal terminology, and legal research techniques
- Relevant computer knowledge and experience, including word processing, spreadsheet, document management, electronic mail and programs, including Word, Excel, PowerPoint, Skype and SharePoint
- Strong organizational skills and exceptional attention to detail and accuracy
- Skilled, self-starter who can work independently and creatively to drive positive change
- High energy and positive attitude, consummate team player
- Excellent verbal, written and interpersonal communication skills
