Responsible for providing legal advice, regulatory support and strategic expertise to assigned Calpine business lines and provides legal support in a variety of business negotiations and contractual agreements. Handles a variety of legal projects and major legal actions; anticipates and guards against legal risks through a combination of directly representing Calpine in legal actions or through the management of outside counsel. Interprets and prepares legal documents/contracts, analyzes proposed and existing legislation and advises management on legal matters. Understands and applies law, regulation and administrative procedures associated with specialty areas of law and requires minimal professional guidance. May specialize in a number of areas including corporate law, litigation, employment, patent, tax, fuel management, contracts, environmental and regulatory affairs. Remains current on area of specialization.

Responsibilities:

  • Serve as primary day-to-day operational/commercial/development attorney for the Northeast and Mid-Atlantic Operations teams which are responsible for 25 primarily natural gas fueled power plants in 8 states. Broad legal experience preferred with development experience a plus. Will advise on financial, real property tax, commercial, regional, state, and local regulatory, environmental and corporate issues. Will draft, review and provide advice regarding all project agreements, from the letter of intent and project development stage to active operation and finally to dismantling and shutdown of operations. Required to have familiarity but not primary responsibility for federal regulatory matters associated with these power plants (and ability to support associated compliance efforts).
  • Assist in mergers, acquisitions and divestitures, including due diligence, transaction documentation, regulatory approvals, closing and merger/acquisition integration.
  • Negotiation and documentation of project financings, power purchase agreements, fuel supply/storage/transport agreements, electric transmission, power/natural gas/fuel oil facility interconnection and construction agreements, real property matters, tax matters, RTO and regional market design issues and other commercial arrangements required by assigned plants. Oversee financing compliance, environmental compliance and regulatory proceedings, challenges and audits and litigation matters arising from time to time.
  • Manage outside counsel to maximize benefit and minimize costs.
  • May be requested to provide miscellaneous legal support to some or all Calpine Corporation departments, including Operations, Environmental Health & Safety, Project Development and Construction/Engineering, Government and Regulatory, Trading and Origination, Tax, Accounting and Investor Relations and Corporate Communications.

  • Strong academic credentials and law degree.
  • Bar Membership.
  • Minimum of ten years experience practicing commercial law or real estate transactions, gas or energy regulatory law in a law firm or corporation.
  • Strong interpersonal and management skills. Ability to quickly gain expertise in new subject matter. Ability to collaborate efficiently and build consensus with a diverse set of internal stakeholders.
