To provide high level administrative support to the Vice President-General Counsel and Legal Department staff for two public companies with offices in suburban Wilmington, Delaware and to coor! dinate the Departments activities with minimal supervision and direction.

ESSENTIAL FUNCTIONS:

  • Assists with the internal and external review, drafting and preparation of a high volume of contracts, company policies, employee handbook, and other related documents.
  • Assists with drafting and preparation of corporate meeting minutes for Companys Board of Directors and subsidiaries Boards. Maintains Corporate Minute Books, in coordination with Board Secretaries and General Counsel.
  • Prepares and reviews documentation related to Boards, including bylaws, resolutions for Board approval, and other corporate documents. Assists in generating and maintaining regular reporting of resolutions and other documents related to Board activities. Assists in responding to requests for Board and corporate documents.
  • Interfaces with the companys transfer agent and maintains stockholder records.
  • Handles SEC beneficial ownership repor! ting and various reports and filings with the NYSE, including ! Forms 3, 4 and 5 and Schedules 13D and 13G. Maintains EDGAR codes.
  • Assists with preparation of various SEC filings and interface with outside printing companies.
  • Assist with drafts of legislation.
  • Interfaces with various insurance companies and their attorneys on lawsuits and claims. Assists with litigation as needed (discovery responses, etc.).
  • Assists with preparation of applications for various insurance coverages.
  • Tracks all of companys registered and pending trademarks and services marks and assists with preparation of renewals as needed.
  • Creates, maintains, updates and organizes Legal Department files in accordance with Companys records retention program and spearheads the departments annual records retention process.
  • Answers a multiple line telephone with calls from Company executives and outside organizations in a professional manner with proper telephone etiquette. Responds to inquiries and refers calls! to appropriate personnel; determines urgency of calls. Receives and screens visitors.
  • Performs research as needed, including review of and obtaining copies of statutes, regulations, ordinances, cases and corporate filings as directed.
  • Processes and tracks all outside legal invoices and confirms compliance with departments legal billing guidelines. Tracks total budget for each individual matter.
  • Assists with drafts of press releases.
  • Maintains law library.
  • Independently prioritizes all work and completes assignments within time constraints. Establishes and maintains workflow priorities. Must be a self starter with strong organizational skills.
  • Operates office equipment, computer hardware, and peripherals. Coordinates service calls for equipment as needed.
  • Transcribes dictation, prepares drafts and final copies of letters and projects, and answers correspondence as required.
  • Receives, opens, prioritizes ! and distributes Departments incoming mail and responsible for all outgo! ing mail..
  • Uses personal computer with a range of software products to produce requested materials such as documents, spreadsheets, charts, graphs, presentation materials, mailing lists, legal materials, and meeting agendas.
  • Maintains Departments office supplies.
  • Schedules meetings and prepares and assembles materials for meetings as needed.
  • Establishes and maintains professional working relationships.
  • Performs special projects as assigned.
ADDITIONAL FUNCTIONS:

EDUCATION/REQUIREMENTS:
  • Minimum 5 years providing administrative support at the high executive level required. Must possess high school diploma. Bachelors or associates degree preferred. Experience with legal terminology preferred.
  • Able to work within a PC Microsoft Windows environment. Advanced proficiency and strong working knowledge required in Microsoft Office Word,! Excel, PowerPoint, Outlook (all Microsoft Office 2010) and Adobe Acrobat X Pro. Typing 50-70 wpm preferred.
  • Superior word processing skills and technical skills required. Ability to transcribe dictation required.
  • Knowledge of Romeo & Dyes Section 16 software and SECs Electronic Data Gathering, Analysis, and Retrieval (EDGAR) system preferred.
  • Analytical, research and solid writing skills preferred.
  • Must have good judgment and exercise the utmost discretion with confidential and sensitive information and maintain confidentiality of information.
  • Must be able to think independently, initiate and recognize basic requirements, and develop and follow through on additional requirements on a case-by-case basis.
  • Must be able to recognize deadlines and prioritize work accordingly.
  • Must be able to effectively communicate with executives and interface with outside counsel. Will be involved with counsel in directing and res! ponding to requests of outside counsel. Must be able to independently ha! ndle requests for information and assistance to counsel.
  • Must be able to effectively organize and handle a large volume of documents on a variety of topics.
  • Must be able to effectively communicate with co-workers, possess good communication skills, work cooperatively and demonstrate teamwork.
  • Must be able to deal tactfully and professionally in a helpful manner with all levels of management.
  • Must be able to communicate clearly and effectively both orally and in writing, and speak, read, and write fluent English.
  • Must be able to maintain effective work relationships at all levels and have well developed interpersonal skills.
  • Must be able to learn specific job duties and complete detailed work assignments.
  • Must be able to meet deadlines in a fast-paced, small office environment.
  • Must be able to report to work on time as scheduled and be able to work extra hours beyond the normal workday and as required.
  • Must present an overall neat and professional appearance and report to work in appropriate attire.
