Specific job description
The Sr. Paralegal will support attorneys in executing legal transactions and is responsible for securing, preparing, drafting, and processing legal documents, including affinity and licensing agreements, non-disclosure agreements, and other legal correspondence. This includes research, and the review and interpretation of legal documents for validity, content, accuracy, and compliance with procedures. Associate must have knowledge of legal documentation and procedures for exami! ning, preparing, and processing legal documents. Requires para! legal certification or college degree with relevant business experience.
Contract Production and Management â€" Review, maintain, and track contract production requests in support of Bank of America’s Affinity Banking and Investments sector. This sector is part of Bank of America’s consumer banking business and specializes in the development of affinity partnerships between Bank of America and commercial, non-profit, professional, college and university, and other special interest groups to deliver consumer and small business banking and investment products to the affinity partner’s constituency. The successful candidate will: coordinate with other business units involved in the end-to-end production and processing of contracts; perform initial review of contract requests; generate follow-up questions; clarify incomplete or ambiguous requests; draft initial contract for attorney review, and revise contract as directed; and proofread and release contract draft! s to the requestor.
Research â€" Perform research as necessary in support of contract requests to include research of applicable law, entity status, trademark ownership and the competition. Research in-house policies, processes, and procedures.
Interface â€" Act as the initial liaison between Legal Department and line of business clients for contract review and production requests in support of Bank of America’s Affinity Banking and Investments sector. Engage consumer banking clients and risk and other support partners in fact-finding, document review and retrieval, obtaining and verifying management decisions and approvals, and scheduling meetings as necessary.
Meeting Support â€" Attend client meetings on behalf of attorneys; spot legal issues for escalation to attorneys. Participate in contract negotiations; take comprehensive notes for use in revising contracts throughout the negotiation process.
Special Projects â€"Handle special p! rojects as needed
Qualifications
Required Qualificati! ons - Must have these qualifications to be considered for the position:
Minimum 3-5 years contract review and drafting experience
Have excellent research and writing skills
Have an aptitude for tracking details and a high degree of organization; effectively prioritize
Ability to manage multiple document reviews and work assignments within prescribed deadlines
Ability to analyze complex contracts, spot issues and gather relevant facts
Ability to build rapport and interact comfortably with line of business clients
Ability to navigate and use automated contract production and tracking systems
Preferred Qualificaitons:
Four-Year College Degree
Paralegal certificate from accredited school a plus
Consumer banking experience or knowledge of consumer protection laws preferred
